Two Cubase 5 questions

Am currently looking at Cubase 5 as a replacement for Nuendo 1.6.  Do you know of anything specific I would lose by upgrading?  Appears to be a better version of my old Nuendo.

Also when was Cubase 5 released (in USA)?  I'm hearing stories...friend of a friend thing... they can provide me with a beta of Cubase 5.1.  Sounds like a back-of-the-van deal to me.
